Legal status of BIIM The Benelux Institute of International Managers ('BIIM') is a Dutch-Belgium registered foundation limited by guarantee (09169843) Its registered offices are located in Laag-Keppel, the Netherlands and Antwerp, Belgium.
The Constitution Under its Memorandum of Association, the objects for which BIIM is established are:

the promotion and development of the science of international management in industry, trade, commerce and the public sector,
-
the advancement of education, particularly industrial and commercial education, relating to the study of the skills of management for the benefit of the community in the fields of industry, trade, commerce and the public sector.
BIIM's Articles of Association cover matters with respect to membership, general meetings, the Board, the Advisory Council, local organization, accounts and notices.
The Board The Board is responsible for BIIM's strategic direction, for ensuring that its business is conducted in accordance with its charitable aims, and for monitoring its operations and overall performance. As BIIM is both a charity and a company, Board members are both charity trustees and company directors.
The Board consists of four directors, of whom:
- two (the "Appointed Directors") are appointed by the BIIM board for whatever period it specifies, and
- two (the "Elected Directors") are Voting Members elected by the Voting Members, who serve from the AGM at which they take office until the next AGM.
The names of the directors as at the end of each financial year are set out in the Annual Report and Financial Statements for that year. The Board normally meets 2 to 4 times a year. The Board has authorized to delegate authority to the Chief Executive who is responsible for the executive management of BIIM.
Advisory Council The function of the Advisory Council is to advise BIIM on developments and strategies in order to achieve its charitable mission of building leadership and management capability. Its terms of reference, responsibilities and other matters are contained in Bye-Law 2. The Council normally meets twice a year.
